Welcome to CrossClips. These Terms and Conditions ("Terms") govern your access to and use of the CrossClips website, apps, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.

Important: This is a draft template adapted for CrossClips as an independently operated software product. Please review before production launch.

Who operates CrossClips

CrossClips is currently operated as an individual/independent software product.

Eligibility and acceptable access

You may use CrossClips only if:

  • you are at least 18 years old, or the age of majority where you live;

You are responsible for ensuring your use of CrossClips is permitted in your jurisdiction.

Accounts and account security

Some features require an account. You agree to:

  • provide accurate and current information;
  • keep your login credentials confidential;
  • promptly update your information when it changes; and
  • notify CrossClips if you suspect unauthorized access.

You are responsible for activities that occur under your account unless caused by CrossClips' security failure.

Service scope and product changes

CrossClips provides clipboard management and synchronization features, which may include desktop, mobile, or web-accessible experiences. Features may change over time.

CrossClips may:

  • add, remove, or modify features;
  • release beta or experimental features;
  • perform maintenance or downtime; and
  • change technical requirements for compatibility or security.

CrossClips will try to avoid material disruption, but uninterrupted availability is not guaranteed.

License and permitted use

Subject to these Terms and your compliance with them, CrossClips grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business use.

You may not:

  • copy, resell, rent, or sublicense the Service except as expressly permitted;
  • reverse engineer or attempt to derive source code, except where law prohibits restrictions;
  • interfere with security, rate limits, or infrastructure;
  • use the Service to transmit unlawful, abusive, or infringing content; or
  • use automated means to abuse sign-up, billing, referral, or support workflows.

Subscription billing and auto-renewal

CrossClips may offer paid subscription plans. Paid subscriptions may renew automatically unless cancelled before the next renewal date.

Billing processor

Payments for subscriptions are processed by Razorpay. By purchasing a paid plan, you authorize Razorpay and CrossClips to charge the selected payment method for recurring subscription fees and applicable taxes/charges.

Pricing and taxes

  • Prices may vary by plan, billing interval, currency, promotions, or region.
  • Taxes or transaction charges may apply depending on your location and payment method.
  • Final payable amount is shown at checkout before completion.

Promotions and codes

Promotional offers, referral discounts, and giveaway access may be subject to additional terms, limitations, and eligibility requirements.

Cancellation and refunds

You may cancel your subscription through the in-app billing/settings flow or by emailing hello@crossclips.app.

  • Cancellation stops future renewals.
  • Unless otherwise stated, access continues until the end of the current paid billing cycle.
  • Refunds are handled according to the Cancellation and Refund policy.

User content and data handling

You retain rights to content you store using CrossClips, subject to rights needed for CrossClips to operate the Service.

You represent that you have the necessary rights to content you store, sync, or transmit through the Service.

CrossClips handles personal data as described in the Privacy Policy.

Intellectual property

The CrossClips Service, branding, software, website content, and related materials are owned by CrossClips and/or its licensors and are protected by intellectual property laws.

These Terms do not grant you ownership of the Service or any intellectual property rights except the limited license above.

Suspension and termination

CrossClips may suspend or terminate access if:

  • you materially breach these Terms;
  • your use poses security, legal, or operational risk;
  • payment fails and is not resolved; or
  • CrossClips discontinues part or all of the Service.

Where practical, CrossClips may provide notice and an opportunity to cure before suspension.

Disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. CrossClips disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability, except as required by applicable law.

Limitation of liability

To the maximum extent permitted by law, CrossClips will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service.

To the maximum extent permitted by law, CrossClips' total liability for claims related to the Service will not exceed the amount you paid to CrossClips for the Service during the 12 months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless CrossClips from claims, losses, liabilities, and expenses arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights, except to the extent caused by CrossClips' own misconduct.

Governing law and disputes

These Terms are governed by the laws of TODO (country/state) without regard to conflict-of-laws principles, except where mandatory law requires otherwise.

Any disputes will be subject to the courts located in TODO (city/state/country venue), unless applicable consumer protection laws provide otherwise.

Changes to these Terms

CrossClips may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date.

If changes are material, CrossClips may provide additional notice through the website, app, or email.
